1. Acceptance of Terms

By accessing or using the Logiverse ERP platform and website (logiverseerp.com), operated by Logiverse (Pvt) Ltd ("Logiverse", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Logiverse provides a cloud-based Enterprise Resource Planning (ERP) platform designed for the freight forwarding industry. Our services include but are not limited to sea and air cargo management, integrated finance and billing, CRM, customer portal, AI-powered agents, and operational analytics.

3. Account Registration

To use our platform, you must:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age and have the legal authority to enter into these terms on behalf of yourself or your organization.

4. Subscription Plans and Payment

• Our services are offered under various subscription plans as detailed on our Pricing page
• Fees are billed in advance on a monthly or annual basis depending on your selected plan
• All fees are non-refundable unless otherwise stated in writing
• We reserve the right to modify pricing with 30 days prior notice
• Free trial accounts are subject to the limitations described at the time of registration

5. Acceptable Use

You agree not to:

• Use the platform for any unlawful or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the platform
• Upload or transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell, sublicense, or redistribute the platform without written consent
• Use automated tools to scrape or extract data from our platform

6. Data Ownership and Intellectual Property

Your Data

You retain full ownership of all data you upload or create within the Logiverse platform. We do not claim ownership of your business data, shipment records, financial documents, or customer information.

Our Intellectual Property

The Logiverse platform, including its software, design, logos, trademarks, documentation, and all associated intellectual property, remains the exclusive property of Logiverse (Pvt) Ltd. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

7. Data Protection and Privacy

Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described therein.

8. Service Availability and SLA

We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted access and are not liable for downtime caused by maintenance, updates, force majeure events, or circumstances beyond our reasonable control. Scheduled maintenance will be communicated in advance whenever possible.

9. Termination

• You may cancel your subscription at any time through your account settings or by contacting our support team
• We may suspend or terminate your access if you violate these terms
• Upon termination, your right to use the platform ceases immediately
• We will provide a reasonable period (30 days) for you to export your data following termination
• Provisions relating to intellectual property, limitation of liability, and dispute resolution survive termination

10. Limitation of Liability

To the maximum extent permitted by law, Logiverse (Pvt) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our platform. Our total liability shall not exceed the amount you paid for the service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Logiverse (Pvt) Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance of the revised terms.
